Important: APAIIR does not provide financial advice. APAIIR is an analytical and research tool, not a broker, investment firm, or financial advisor. Nothing provided through APAIIR, including events, strategies, backtests, simulated portfolios, AI-generated outputs, and market data, is financial, investment, tax, or trading advice or a recommendation to buy, sell, or hold any financial instrument. You are solely responsible for your investment decisions. Trading and investing involve significant risk, including the loss of all invested capital. Past performance, whether actual or simulated, is not indicative of future results. For details, see Section 2 below and our Disclaimer.

1. About These Terms

1. These Terms of Service ("Terms") govern your access to and use of the APAIIR website www.apaiir.com and the APAIIR platform and services (together, the "Platform").

2. The Platform is operated by A. P. AI Investing Robots LTD, a company registered in Cyprus under registration number HE 438674, with its registered office at Ampelonon 37, 4607 Limassol, Cyprus ("APAIIR", "we", "us").

3. By creating an account, starting a free trial, purchasing a subscription, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

4. Our Privacy Policy, Refund and Cancellation Policy, and Disclaimer form part of these Terms.

5. Team and enterprise plans may be governed by a separate written agreement. If that agreement conflicts with these Terms, the separate agreement prevails.

2. Not Financial Advice

1. APAIIR is an analytical and research tool. It does not provide financial, investment, tax, legal, or trading advice.

2. APAIIR is not a broker, investment firm, or financial advisor, and does not execute trades or manage money on your behalf. No advisory, fiduciary, or client-broker relationship is created between you and APAIIR.

3. APAIIR is not licensed or authorised by CySEC or any other financial regulator and does not provide regulated investment services. It does not receive, transmit, or execute orders. "Orders" and "trades" recorded in the Platform are your own entries in your own tracked or simulated portfolio.

4. Some strategies are published by their authors and become visible to other users in the same workspace. Their regular recalculation against market data is mechanical; it is not an opinion, endorsement, ranking, or recommendation by APAIIR. APAIIR does not select or recommend any strategy for any user, and adding any strategy to your portfolio is your own decision.

5. Events (also called signals) are generated automatically when the rules of a strategy are met. Strategies are built from rules and parameters defined by users themselves, including rules drafted with the Platform's AI tools. Events do not take into account your personal financial situation, investment objectives, or risk tolerance.

6. Nothing on the Platform, including events, strategies, backtests, simulated portfolios, AI-generated outputs, market data, and any communication from us, is a recommendation or solicitation to buy, sell, or hold any financial instrument.

7. Backtest and simulation results are hypothetical and do not reflect actual trading. They may not account for factors such as fees, commissions, slippage, liquidity, and taxes.

8. You are solely responsible for your investment decisions and their outcomes. You should consult a qualified financial advisor before making any investment decision.

9. Trading and investing involve significant risk, including the loss of all invested capital.

3. Eligibility and Accounts

1. You must be at least 18 years old and able to enter into a binding contract to use the Platform.

2. You must provide accurate and complete information when you create an account and keep it up to date.

3. We sign you in with one-time codes sent to your email address. You are responsible for keeping access to that email account secure and for all activity under your account. Accounts are personal and may not be shared.

4. Notify us immediately at support@apaiir.com if you suspect unauthorized use of your account.

4. Subscriptions, Free Trial, and Payments

1. Access to the Platform requires an active free trial or a monthly or annual subscription. Plans and prices are shown on our website and in the APAIIR web app (platform.apaiir.com) before you subscribe. Prices are shown excluding VAT. VAT for your country is added at checkout where applicable.

2. New users can use a 14-day free trial once. You provide a payment method when you start the trial. When the trial ends, your subscription starts automatically and the first payment is charged, unless you cancel before then.

3. Subscriptions are billed in advance and renew automatically for the same period until you cancel. Payments are processed by Stripe. The total amount, including VAT where applicable, is shown at checkout before you pay. You can manage your subscription, payment method, and invoices in the Account section of the web app.

4. If a renewal payment fails, we will notify you by email and retry the payment over the following two weeks. You keep access for 3 days after the end of your paid period while we try to collect the payment. After that, access is suspended until the payment succeeds. If the payment still fails after the last retry, your subscription is canceled.

5. We may change subscription prices. We will notify you at least 30 days before a new price applies to your subscription. The new price applies from your next renewal, and you can cancel before then if you do not agree.

6. You can switch from a monthly to an annual subscription at any time in the Account section. The switch takes effect immediately: the unused part of your current monthly period is credited, the difference is charged right away, and your billing date changes. A switch from annual to monthly takes effect at the end of your paid annual period. Plan changes are not available during the free trial.

7. Cancellations, the 14-day right of withdrawal, and refunds are governed by our Refund and Cancellation Policy. Trading or investment results are not grounds for a refund.

5. Use of the Platform

1. Subject to these Terms and an active trial or subscription, we grant you a personal, limited, non-exclusive, non-transferable license to use the Platform for your own research and analysis.

2. You must not:

   • Copy, resell, sublicense, or redistribute the Platform or any of its data, including market data and events, to third parties.

   • Use the Platform to provide investment advice, signals, or portfolio management services to third parties.

   • Scrape or extract data from the Platform by automated means, except through features we provide for that purpose.

   • Reverse engineer, decompile, or attempt to access the Platform's source code, except where the law expressly allows this.

   • Interfere with or disrupt the security, integrity, or performance of the Platform.

   • Use the Platform for any unlawful purpose, including market manipulation or fraud.

6. Market Data and Third-Party Services

1. Market data on the Platform is obtained from third-party sources. It may be delayed, incomplete, or inaccurate, and it is provided for your own use only.

2. We are not responsible for third-party websites, services, or trading platforms that you use, including any platform where you place trades.

7. Your Content and AI Features

1. You keep ownership of the strategies, portfolios, and other content you create on the Platform ("Your Content").

2. You grant us a limited license to host, store, process, and display Your Content only as needed to provide and maintain the Platform for you.

3. Outputs generated with AI tools may be inaccurate or incomplete. You are responsible for reviewing them before relying on them.

8. Intellectual Property

The Platform, including its software, design, algorithms, and content, but excluding Your Content and third-party data, is owned by APAIIR or its licensors and is protected by intellectual property laws. Apart from the license in Section 5, these Terms do not grant you any rights in the Platform.

9. Availability and Changes to the Platform

1. We aim to keep the Platform available but do not guarantee uninterrupted access. The Platform may be unavailable during maintenance or updates, or because of circumstances beyond our control.

2. We may update, add, or remove features. If a change materially reduces the features of your paid subscription, we will notify you in advance, and you may cancel and receive a pro rata refund for the unused part of your current billing period.

10. Disclaimer of Warranties

1. To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied. Our Disclaimer contains further details. This does not affect your statutory rights as a consumer, including your rights if the Platform does not conform to these Terms.

2. The Platform is currently in beta and may contain errors or inaccuracies. Please verify any information against independent public sources before relying on it, and report any errors or bugs to support@apaiir.com.

11. Limitation of Liability

1. To the maximum extent permitted by applicable law, APAIIR is not liable for:

   • Any trading or investment losses, including losses resulting from decisions based on events, strategies, backtests, simulations, AI-generated outputs, or market data.

   • Any indirect, incidental, consequential, or special damages, or any loss of profits, revenue, or data.

2. To the maximum extent permitted by applicable law, our total liability arising out of or in connection with these Terms or the Platform is limited to the amount you paid us for the Platform in the 12 months before the event giving rise to the claim.

3. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, gross negligence, or willful misconduct, or any other liability that cannot be excluded or limited under applicable law. Nothing in these Terms affects your statutory rights as a consumer.

12. Suspension and Termination

1. You may stop using the Platform and cancel your subscription at any time, as described in our Refund and Cancellation Policy.

2. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Platform or its users. Where reasonable, we will notify you in advance and give you an opportunity to remedy the breach.

3. When your access ends, your right to use the Platform stops. We will handle your personal data as described in our Privacy Policy.

13. Privacy

Our Privacy Policy explains how we collect, use, and protect your personal data.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If the changes are material, we will notify you by email or through the Platform at least 30 days before they take effect. If you do not agree, you can cancel your subscription before the changes take effect.

15. Governing Law and Disputes

1. These Terms are governed by the laws of the Republic of Cyprus.

2. Any dispute arising out of or in connection with these Terms is subject to the jurisdiction of the courts of Cyprus.

3. If you are a consumer, you also benefit from the mandatory consumer protection rules of the country where you live, and you may bring proceedings in the courts of that country.

16. General

1. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

2. Our failure to enforce any right or provision is not a waiver of that right or provision.

3. You may not transfer your rights under these Terms without our consent. We may transfer our rights and obligations as part of a merger, acquisition, or sale of assets, provided this does not reduce your rights.

4. These Terms are written in English. If they are translated, the English version prevails, unless applicable law requires otherwise.
